1. OUR SERVICES
In Short: Nest is not a bank. All financial services are offered in partnership with RBI-registered NBFCs/banks and governed by RBI regulations. Users accessing our services from outside India are responsible for complying with local laws.
Nest is not a bank. All lending, wallet, and financial services offered through the Nest app are provided in partnership with RBI-registered Non-Banking Financial Companies (NBFCs) and/or banking partners.
All such services are governed by the Reserve Bank of India (RBI) regulations, including but not limited to the Master Directions on KYC (Know Your Customer), Prevention of Money Laundering Act (PMLA), Foreign Account Tax Compliance Act (FATCA), and Common Reporting Standards (CRS).
The information provided when using the Services is not intended for distribution to or use by any person or entity in any jurisdiction or country where such distribution or use would be contrary to law or regulation or which would subject us to any registration requirement within such jurisdiction or country. Accordingly, those persons who choose to access the Services from other locations do so on their own initiative and are solely responsible for compliance with local laws, if and to the extent local laws are applicable.
2. INTELLECTUAL PROPERTY RIGHTS
In Short: All content, trademarks, and materials on our Services are our property or licensed to us and are protected by law. You may use them only for personal or internal business purposes, not for commercial exploitation without our permission. Any submissions you share with us become our property, and you are responsible for ensuring they do not violate any laws or rights.
We are the owner or the licensee of all intellectual property rights in our Services, including all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics in the Services (collectively, the "Content"), as well as the trademarks, service marks, and logos contained therein (the "Marks").
Our Content and Marks are protected by copyright and trademark laws (and various other intellectual property rights and unfair competition laws) and treaties around the world.
The Content and Marks are provided in or through the Services "AS IS" for your personal, non-commercial use or internal business purpose only. Subject to your compliance with these Legal Terms, including the "PROHIBITED ACTIVITIES” section below, we grant you a non-exclusive, non-transferable, revocable license to:
- Access the Services;
- Download or print a copy of any portion of the Content to which you have properly gained access, solely for your personal, non-commercial use or internal business purpose.
Except as set out in this section or elsewhere in our Legal Terms, no part of the Services and no Content or Marks may be copied, reproduced, aggregated, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, distributed, sold, licensed, or otherwise exploited for any commercial purpose whatsoever, without our express prior written permission.
If you wish to make any use of the Services, Content, or Marks other than as set out in this section or elsewhere in our Legal Terms, please address your request to: contact@nestapp.in. If we ever grant you the permission to post, reproduce, or publicly display any part of our Services or Content, you must identify us as the owners or licensors of the Services, Content, or Marks and ensure that any copyright or proprietary notice appears or is visible on posting, reproducing, or displaying our Content.
We reserve all rights not expressly granted to you in and to the Services, Content, and Marks.
Any breach of these Intellectual Property Rights will constitute a material breach of our Legal Terms and your right to use our Services will terminate immediately.
Please review this section and the "PROHIBITED ACTIVITIES" section carefully prior to using our Services to understand the (a) rights you give us and (b) obligations you have when you post or upload any content through the Services.
By directly sending us any question, comment, suggestion, idea, feedback, or other information about the Services ("Submissions"), you agree to assign to us all intellectual property rights in such Submission. You agree that we shall own this Submission and be entitled to its unrestricted use and dissemination for any lawful purpose, commercial or otherwise, without acknowledgment or compensation to you.
By sending us Submissions through any part of the Services You are responsible for what you post or upload:
- Confirm that you have read and agree with our "PROHIBITED ACTIVITIES" and will not post, send, publish, upload, or transmit through the Services any Submission that is illegal, harassing, hateful, harmful, defamatory, obscene, bullying, abusive, discriminatory, threatening to any person or group, sexually explicit, false, inaccurate, deceitful, or misleading;
- To the extent permissible by applicable law, waive any and all moral rights to any such Submission;
- Warrant that any such Submission are original to you or that you have the necessary rights and licenses to submit such Submissions and that you have full authority to grant us the above-mentioned rights in relation to your Submissions; and
- Warrant and represent that your Submissions do not constitute confidential information.
You are solely responsible for your Submissions and you expressly agree to reimburse us for any and all losses that we may suffer because of your breach of (a) this section, (b) any third party’s intellectual property rights, or (c) applicable law.
3. USER REPRESENTATIONS
In Short: You must provide accurate information, use the Services legally, and not through automated means. Liability for unauthorized transactions follows RBI rules — zero liability if reported quickly, limited if delayed, and full if reported after 7 days or due to negligence.
By using the Services, you represent and warrant that:
- All registration information you submit will be true, accurate, current, and complete;
- You will maintain the accuracy of such information and promptly update such registration information as necessary;
- You have the legal capacity and you agree to comply with these Legal Terms;
- You are not a minor in the jurisdiction in which you reside;
- You will not access the Services through automated or non-human means, whether through a bot, script or otherwise;
- You will not use the Services for any illegal or unauthorized purpose; and
- Your use of the Services will not violate any applicable law or regulation.
If you provide any information that is untrue, inaccurate, not current, or incomplete, we have the right to suspend or terminate your account and refuse any and all current or future use of the Services (or any portion therefore). Your liability in case of fraud/unauthorized transactions will follow RBI’s “Customer Liability in Unauthorized Electronic Banking Transactions” circular:
- Zero Liability: If the loss arises due to negligence/failure of the NBFC/bank/system, irrespective of reporting.
- Limited Liability: If you report within 3 working days, you have zero liability. If reported within 4–7 working days, liability is capped (₹5,000 for BSBD accounts, ₹10,000 for savings accounts, ₹25,000 for high-value accounts/credit cards).
- Full Liability: If you fail to report beyond 7 working days or share credentials negligently.
You must immediately block your account/card/wallet if your phone, SIM, or credentials are lost or compromised.
4. USER REGISTRATION
In Short: You must complete KYC (Aadhaar, PAN, proof, etc.) as per RBI rules to use Nest services. Keep your account credentials safe. Services are for 18+ users; minors (10–18) may use only under guardian consent, with the guardian fully responsible.
Nest services are intended for users 18+ years. If services are extended to minors (10–18 years), such access must be with the consent and supervision of a lawful guardian, who shall assume full financial and legal responsibility for all transactions made by the minor. You agree to complete all KYC verification requirements before accessing financial services on Nest. This may include:
- Providing Aadhaar, PAN, address proof, photograph, and completing Video KYC.
- Allowing Nest/its NBFC partners to verify details via CKYC, DigiLocker, UIDAI, or other authorised agencies.
- Re-submitting KYC documents periodically as mandated by RBI.
- Failure to complete or update KYC may result in account suspension or termination.
You may be required to register to use the Services. You agree to keep your password confidential and will be responsible for all use of your account and password. We reserve the right to remove, reclaim, or change a username you select if we determine, in our sole discretion, that such username is inappropriate, obscene, or otherwise objectionable.
5. Fees, Charges & Interest
In Short: You must pay all applicable fees, charges, and interest. Nest/NBFC partners may auto-debit dues and revise fees with 30 days’ prior notice.
You agree to pay all applicable fees, charges, interest, and penalties as disclosed by Nest or its NBFC partners. Nest/NBFC partners are authorised to:
- Auto-debit dues from linked bank accounts/wallets/cards.
- Revise fees/charges with 30 days’ prior notice.
- Maintain sufficient funds in linked accounts; failure may result in penalties or suspension of services.
- Wrongful/excess debits (if proven) will be investigated and refunded as per applicable laws and partner NBFC policies.
6. PROHIBITED ACTIVITIES
In Short: You must not misuse our Services. Activities like fraud, hacking, spreading malware, spamming, impersonation, harassment, reverse engineering, automated data scraping, or using the Services for unlawful or commercial purposes without permission are strictly prohibited.
You may not access or use the Services for any purpose other than that for which we make the Services available. The Services may not be used in connection with any commercial endeavors except those that are specifically endorsed or approved by us.
As a user of the Services, you agree not to:
- Systematically retrieve data or other content from the Services to create or compile, directly or indirectly, a collection, compilation, database, or directory without written permission from us.
- Trick, defraud, or mislead us and other users, especially in any attempt to learn sensitive account information such as user passwords.
- Circumvent, disable, or otherwise interfere with security-related features of the Services, including features that prevent or restrict the use or copying of any Content or enforce limitations on the use of the Services and/or laughable Content contained therein.
- Disparage, tarnish, or otherwise harm, in our opinion, us and/or the Services.
- Use any information obtained from the Services in order to harass, abuse, or harm another person.
- Make improper use of our support services or submit false reports of abuse or misconduct.
- Use the Services in a manner inconsistent with any applicable laws or regulations.
- Engage in unauthorized framing of or linking to the Services.
- Upload or transmit (or attempt to upload or to transmit) viruses, Trojan horses, or other material, including excessive use of capital letters and spamming (continuous posting of repetitive text), that interferes with any party’s uninterrupted use and enjoyment of the Services or modifies, impairs, disrupts, alters, or interferes with the use, features, functions, operation, or maintenance of the Services.
- Engage in any automated use of the system, such as using scripts to send comments or messages, or using any data mining, robots, or similar data gathering and extraction tools.
- Delete the copyright or other proprietary rights notice from any Content.
- Attempt to impersonate another user or person or use the username of another user.
- Upload or transmit (or attempt to upload or to transmit) any material that acts as a passive or active information collection or transmission mechanism, including without limitation, clear graphics interchange formats ("gifs"), 1Ă—1 pixels, web bugs, cookies, or other similar devices (sometimes referred to as "spyware" or "passive collection mechanisms" or "pcms").
- Interfere with, disrupt, or create an undue burden on the Services or the networks or services connected to the Services.
- Harass, annoy, intimidate, or threaten any of our employees or agents engaged in providing any portion of the Services to you.
- Attempt to bypass any measures of the Services designed to prevent or restrict access to the Services, or any portion of the Services.
- Copy or adapt the Services' software, including but not limited to Flash, PHP, HTML, JavaScript, or other code.
- Except as permitted by applicable law, decipher, decompile, disassemble, or reverse engineer any of the software comprising or in any way making up a part of the Services.
- Except as may be the result of standard search engine or Internet browser usage, use, launch, develop, or distribute any automated system, including without limitation, any spider, robot, cheat utility, scraper, or offline reader that accesses the Services, or use or launch any unauthorized script or other software.
- Use a buying agent or purchasing agent to make purchases on the Services.
- Make any unauthorized use of the Services, including collecting usernames and/or email addresses of users by electronic or other means for the purpose of sending unsolicited email, or creating user accounts by automated means or under false pretenses.
- Use the Services as part of any effort to compete with us or otherwise use the Services and/or the Content for any revenue-generating endeavor or commercial enterprise.
- Use the Services to advertise or offer to sell goods and services.
- Sell or otherwise transfer your profile.
7. USER GENERATED CONTRIBUTIONS
In Short: Users may leave reviews/ratings but must ensure they are honest, respectful,
and non-discriminatory. False, offensive, misleading, or biased reviews are not allowed.
Feedback shared may be used by Nest without compensation.
The Services does not allow users to freely submit or post content, except where explicitly provided (e.g., reviews or ratings).
When posting a review, you must comply with the following criteria:
- You must have firsthand experience with the person/entity being reviewed.
- Reviews must not contain profanity, abusive, racist, hateful, or offensive language.
- Reviews must not contain discriminatory references (religion, race, gender, origin, age, marital status, sexual orientation, or disability).
- Reviews must not reference illegal activity.
- You must not be affiliated with competitors if posting negative reviews.
- You may not make legal conclusions about conduct.
- Reviews must not be false or misleading.
- You may not organize campaigns encouraging others to post biased reviews.
You and Nest agree that we may access, store, process, and use any information and
personal data you provide, in line with our
Privacy Policy
and your chosen settings.
By submitting suggestions or feedback regarding the Services, you agree that we may
use and share such feedback for any purpose, without compensation to you.
8. CONTRIBUTION LICENSE
In Short: By submitting feedback or contributions, you grant Nest a worldwide, royalty-free license
to use them for improving our services, without compensation or obligation to you.
By submitting feedback, suggestions, ideas, enhancement requests, recommendations, comments, code, content,
or other information to Nest (“Contributions”), you acknowledge and agree that:
- Your Contributions are voluntary, non-confidential, and shall not create any obligation of confidentiality or compensation by Nest.
- You grant Nest and its NBFC/banking partners a worldwide, perpetual, irrevocable, transferable, royalty-free license to use, reproduce, modify, adapt, publish, translate, distribute, and otherwise exploit your Contributions in any manner and for any purpose related to improving, providing, or promoting Nest’s services.
- You represent and warrant that you own or control all rights to your Contributions and that your Contributions do not infringe or violate the intellectual property or other rights of any third party.
- Nest may, at its sole discretion, choose to incorporate or not incorporate Contributions into its products and services, without notice or obligation to you.
9. GUIDELINES FOR REVIEWS
In Short: Users may post reviews if they are genuine, respectful, and based on firsthand experience. False, offensive, discriminatory, or misleading reviews are not allowed. Nest may accept, reject, or remove reviews at its discretion and is not liable for user-posted content.
We may provide you areas on the Services to leave reviews or ratings. When posting a review, you must comply with the following criteria:
- You should have firsthand experience with the person/entity being reviewed;
- Your reviews should not contain offensive profanity, or abusive, racist, offensive, or hateful language;
- Your reviews should not contain discriminatory references based on religion, race, gender, national origin, age, marital status, sexual orientation, or disability;
- Your reviews should not contain references to illegal activity;
- You should not be affiliated with competitors if posting negative reviews;
- You should not make any conclusions as to the legality of conduct;
- You may not post any false or misleading statements; and
- You may not organize a campaign encouraging others to post reviews, whether positive or negative.
We may accept, reject, or remove reviews in our sole discretion. We have absolutely no obligation to screen reviews or to delete reviews, even if anyone considers reviews objectionable or inaccurate.
Reviews are not endorsed by us, and do not necessarily represent our opinions or the views of any of our affiliates or partners. We do not assume liability for any review or for any claims, liabilities, or losses resulting from any review. By posting a review, you hereby grant to us a perpetual, non-exclusive, worldwide, royalty-free, fully paid, assignable, and sublicensable right and license to reproduce, modify, translate, transmit by any means, display, perform, and/or distribute all content relating to review.
10. MOBILE APPLICATION LICENSE
In Short: You get a limited, non-transferable license to use the Nest App on your personal devices, as per App Store/Google Play rules. You must not modify, reverse-engineer, misuse, or use it for unauthorized commercial purposes. App Distributors (Apple/Google) are not responsible for support or warranties.
Use License
If you access the Services via the App, then we grant you a revocable, non-exclusive, non-transferable, limited right to install and use the App on wireless electronic devices owned or controlled by you, and to access and use the App on such devices strictly in accordance with the terms and conditions of this mobile application license contained in these Legal Terms. You shall not:
- Except as permitted by applicable law, decompile, reverse engineer, disassemble, attempt to derive the source code of, or decrypt the App;
- Make any modification, adaptation, improvement, enhancement, translation, or derivative work from the App;
- Violate any applicable laws, rules, or regulations in connection with your access or use of the App;
- Remove, alter, or obscure any proprietary notice (including any notice of copyright or trademark) posted by us or the licensors of the App;
- Use the App for any revenue- generating endeavor, commercial enterprise, or other purpose for which it is not designed or intended;
- Make the App available over a network or other environment permitting access or use by multiple devices or users at the same time;
- Use the App for creating a product, service, or software that is, directly or indirectly, competitive with or in any way a substitute for the App;
- Use the App to send automated queries to any website or to send any unsolicited commercial email; or
- Use any proprietary information or any of our interfaces or our other intellectual property in the design, development, manufacture, licensing, or distribution of any applications, accessories, or devices for use with the App.
Apple and Android Devices
The following terms apply when you use the App obtained from either the Apple Store or Google Play (each an "App Distributor") to access the Services:
- The license granted to you for our App is limited to a non-transferable license to use the application on a device that utilizes the Apple iOS or Android operating systems, as applicable, and in accordance with the usage rules set forth in the applicable App Distributor’s terms of service;
- We are responsible for providing any maintenance and support services with respect to the App as specified in the terms and conditions of this mobile application license contained in these Legal Terms or as otherwise required under applicable law, and you acknowledge that each App Distributor has no obligation whatsoever to furnish any maintenance and support services with respect to the App;
- In the event of any failure of the App to conform to any applicable warranty, you may notify the applicable App Distributor, and the App Distributor, in accordance with its terms and policies, may refund the purchase price, if any, paid for the App, and to the maximum extent permitted by applicable law, the App Distributor will have no other warranty obligation whatsoever with respect to the App;
- You represent and warrant that (i) you are not located in a country that is subject to a US government embargo, or that has been designated by the US government as a "terrorist supporting" country and (ii) you are not listed on any US government list of prohibited or restricted parties;
- You must comply with applicable third-party terms of agreement when using the App, e.g., if you have a VoIP application, then you must not be in violation of their wireless data service agreement when using the App; and
- You acknowledge and agree that the App Distributors are third-party beneficiaries of the terms and conditions in this mobile application license contained in these Legal Terms, and that each App Distributor will have the right (and will be deemed to have accepted the right) to enforce the terms and conditions in this mobile application license contained in these Legal Terms against you as a third-party beneficiary thereof.
11. THIRD-PARTY WEBSITES AND CONTENT
In Short: Nest is not responsible for third-party websites, content, or purchases you access through our Services. Use them at your own risk and review their terms and privacy policies separately.
The Services may contain (or you may be sent via the Site or App) links to other websites ("Third-Party Websites") as well as articles, photographs, text, graphics, pictures, designs, music, sound, video, information, applications, software, and other content or items belonging to or originating from third parties ("Third-Party Content"). Such Third-Party Websites and Third-Party Content are not investigated, monitored, or checked for accuracy, appropriateness, or completeness by us, and we are not responsible for any Third-Party Websites accessed through the Services or any Third-Party Content posted on, available through, or installed from the Services, including the content, accuracy, offensiveness, opinions, reliability, privacy practices, or other policies of or contained in the Third-Party Websites or the Third-Party Content. Inclusion of, linking to, or permitting the use or installation of any Third-Party Websites or any Third-Party Content does not imply approval or endorsement thereof by us. If you decide to leave the Services and access the Third-Party Websites or to use or install any Third-Party Content, you do so at your own risk, and you should be aware these Legal Terms no longer govern. You should review the applicable terms and policies, including privacy and data gathering practices, of any website to which you navigate from the Services or relating to any applications you use or install from the Services. Any purchases you make through Third-Party Websites will be through other websites and from other companies, and we take no responsibility whatsoever in relation to such purchases which are exclusively between you and the applicable third party. You agree and acknowledge that we do not endorse the products or services offered on Third-Party Websites and you shall hold us blameless from any harm caused by your purchase of such products or services. Additionally, you shall hold us blameless from any losses sustained by you or harm caused to you relating to or resulting in any way from any Third-Party Content or any contact with Third-Party Websites.
12. ADVERTISERS
In Short: Advertisers may display ads on our Services, but Nest is not responsible for their content or for any transactions you make with them.
We may allow advertisers to display their advertisements, promotions, or other information in designated areas of the Services, such as sidebars, banners, or sponsored content. These advertisements are provided solely as space for third-party promotion and do not imply our endorsement or recommendation.
Any communication, interaction, or transaction you engage in with advertisers is solely between you and the advertiser. We disclaim all responsibility or liability for any loss, harm, or dispute that may arise as a result of such dealings.
13. SERVICES MANAGEMENT
In Short: We may monitor, restrict, disable, or remove content and take legal action to protect our Services and ensure proper functioning.
We reserve the right, but not the obligation, to:
- Monitor the Services for violations of these Legal Terms.
- Take appropriate legal action against anyone who violates the law or these Legal Terms, including reporting such users to law enforcement authorities.
- Refuse, restrict access to, limit the availability of, or disable (where technologically feasible) any Contributions or content at our discretion.
- Remove or disable files and content that are excessive in size or burdensome to our systems.
- Manage the Services in a manner designed to protect our rights and property and ensure the Services function properly.

14. PRIVACY POLICY
In Short: By using our Services, you agree to our Privacy Policy. If you are outside India, you consent to your data being transferred and processed in India.

By using the Services, you agree to be bound by our Privacy Policy, which is incorporated into these Legal Terms.
Please note that the Services are hosted in India. If you access the Services from another region of the world with different data protection laws, you acknowledge and agree that your personal data will be transferred to and processed in India. By continuing to use the Services, you expressly consent to this transfer and processing.
15. TERM AND TERMINATION
In Short: We may suspend or close your account if you breach our terms, commit fraud, fail KYC, or have outstanding dues. Closure with notice is 30 days, but immediate suspension is possible in serious cases. Obligations like payments survive termination, and you cannot re-register without approval.
These Legal Terms remain effective for as long as you use our Services. We reserve the right, at our discretion and without liability, to restrict, suspend, or terminate your access to the Services at any time and for any reason, including but not limited to:
- Breach of these Legal Terms or any applicable law
- Fraud, misuse, or suspicious activity
- Failure to comply with KYC or regulatory requirements
- Non-payment of outstanding amounts
- Providing false or misleading information
Account Suspension & Closure
- Nest and its NBFC partners may close your account by providing 30 days’ prior notice.
- Accounts may be immediately suspended or frozen in cases of fraud, regulatory non-compliance, suspicious activity, or breach of legal obligations.
- Any outstanding dues, obligations, or liabilities will survive account closure and remain payable.
Consequences of Termination
- Upon termination, you lose the right to access or use the Services.
- Your account and related data may be deleted or disabled, subject to legal and regulatory record-keeping requirements.
- You are prohibited from registering a new account under your name, a different name, or on behalf of a third party without prior written approval.
- We may take legal action, including civil, criminal, or injunctive remedies, to protect our rights and interests.
Survival
Certain obligations under these Legal Terms, including but not limited to payment obligations, indemnities, disclaimers, limitations of liability, dispute resolution, and governing law, shall continue even after your account is terminated.
16. MODIFICATIONS AND INTERRUPTIONS
In Short: Services may change or face interruptions. We do not guarantee continuous availability and are not responsible for downtime, delays, or modifications.
We may update, change, or discontinue our Services at any time without prior notice. This includes altering features, prices, or functionalities at our discretion. While we strive to keep the Services accessible, we cannot guarantee uninterrupted availability. Technical issues such as server failures, maintenance, or unforeseen events may result in downtime.
- We are not liable for any loss, damage, or inconvenience caused by temporary or permanent unavailability of the Services.
- We are under no obligation to provide updates, bug fixes, or continued support unless required by law.
- Service modifications may be made at any time, with or without notice, to maintain security, improve performance, or comply with regulatory requirements.
17. GOVERNING LAW
In Short: All disputes will be governed by Indian law and handled exclusively by the courts in Nellore, Andhra Pradesh.
These Legal Terms are governed by the laws of India. Any disputes, claims, or proceedings arising out of or relating to the Services will be subject to the exclusive jurisdiction of the courts in Nellore, Andhra Pradesh, India.
- All matters will be resolved in accordance with Indian laws, regardless of conflicts of law provisions.
- Using the Services signifies your consent to submit to the exclusive jurisdiction of Indian courts.
- Nothing in these Legal Terms prevents us from seeking interim relief or enforcement actions in other jurisdictions if necessary.
18. DISPUTE RESOLUTION
In Short: Disputes must first go through internal resolution, followed by arbitration in Bengaluru, India. Users cannot bring class actions or group claims. Nest/NBFC partners retain maximum protection under Indian law.
Informal Resolution & Governing Law
- These Legal Terms are governed by the laws of India.
- Any dispute will fall under the exclusive jurisdiction of the courts where Nest’s NBFC partner is registered, with primary venue in Bengaluru, India.
- Before any arbitration or litigation, users must exhaust Nest’s internal grievance redressal process and allow at least 30 days for resolution.
- Users may escalate unresolved complaints to the RBI Ombudsman in accordance with RBI’s Integrated Ombudsman Scheme.
To expedite resolution and reduce costs, both Parties agree to first attempt informal negotiations for at least 30 days after written notice before initiating arbitration or court proceedings.
Binding Arbitration
Any dispute arising out of or connected with these Legal Terms shall be referred to and finally resolved by arbitration administered in accordance with the Rules of the International Commercial Arbitration Court (ICAC). The seat of arbitration shall be Bengaluru, India, and proceedings shall be conducted in English.
- Arbitration shall be conducted by a panel of three (3) arbitrators.
- The substantive law governing the proceedings shall be the laws of India.
- The decision of the arbitral tribunal shall be final and binding on both Parties.
- Costs of arbitration (legal, administrative, tribunal) shall be borne primarily by the user unless the tribunal decides otherwise.
Restrictions
To the maximum extent permitted by law, the following restrictions apply:
- No arbitration shall be joined with any other proceeding.
- Users may not bring or participate in class actions, collective claims, or representative suits.
- All disputes must be brought on an individual basis between Nest/NBFC partners and the user.
- Compensation claims shall be limited strictly to proven direct damages, excluding indirect, incidental, or punitive damages.
Exceptions
The following disputes are exempt from informal negotiations and arbitration, and may be taken directly to court:
- Disputes involving the enforcement or validity of Nest’s intellectual property rights.
- Allegations of theft, fraud, piracy, invasion of privacy, or unauthorized use of services.
- Claims seeking injunctive or equitable relief.
Fallback Clause
If any part of this arbitration clause is held unenforceable, that portion will be severed, and disputes shall instead be decided exclusively by the competent courts in Bengaluru, India. Users expressly consent to the jurisdiction of these courts.
19. CORRECTIONS
In Short: We may correct errors, update information, or modify content on the Services at any time without prior notice.
The Services may occasionally contain typographical errors, inaccuracies, or omissions that may relate to service descriptions, pricing, fees, promotions, offers, or availability. While we strive for accuracy, such errors may occur.
We reserve the unrestricted right to correct any errors, inaccuracies, or omissions and to change, update, or remove information on the Services at any time, without prior notice. This includes the right to revise content, adjust pricing, modify service features, or temporarily suspend certain sections of the Services if necessary.
Users acknowledge that it is their responsibility to review updates periodically. Nest shall not be held liable for any inconvenience, loss, or misunderstanding arising from reliance on outdated or incorrect information displayed on the Services.
20. DISCLAIMER
In Short: The services are provided as-is and as-available, without any warranties. You use them at your own risk.
The services are provided on an "as-is" and "as-available" basis. You agree that your use of the services will be at your sole risk. To the fullest extent permitted by applicable law, Nest, its NBFC partners, affiliates, officers, directors, employees, and agents disclaim all warranties, express or implied, in connection with the services and your use thereof, including, without limitation, any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
We make no warranties or representations about the accuracy, reliability, or completeness of the services’ content or the content of any websites or mobile applications linked to the services. To the maximum extent allowed by law, we assume no liability or responsibility for:
- Errors, mistakes, or inaccuracies of content and materials.
- Personal injury or property damage of any nature whatsoever resulting from your access to and use of the services.
- Any unauthorized access to or use of our secure servers and/or any personal information or financial information stored therein.
- Any interruption or cessation of transmission to or from the services.
- Any bugs, viruses, trojan horses, or similar issues which may be transmitted to or through the services by any third party.
- Any errors or omissions in any content or materials, or for any loss or damage incurred as a result of the use of any content made available via the services.
We do not warrant, endorse, guarantee, or assume responsibility for any product or service advertised or offered by a third party through the services, any hyperlinked website, or any website or mobile application featured in any banner or other advertising. We will not be a party to or in any way responsible for monitoring any transaction between you and any third-party providers of products or services.
As with the purchase of any product or service through any medium or environment, you should use your best judgment and exercise caution where appropriate. To the extent permitted by law, you agree that Nest shall not be held liable for any indirect, incidental, special, or consequential damages, including but not limited to loss of data, revenue, profits, or goodwill, even if we have been advised of the possibility of such damages.
21. Limitations of Liability
In Short: Our liability is limited to the maximum extent permitted by law. You agree we are not responsible for indirect damages, and your remedies are limited.
To the fullest extent permitted by law, Nest, its NBFC partners, directors, officers, employees, agents, and affiliates shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages, including but not limited to:
- Loss of profits, revenue, business opportunities, goodwill, or data.
- Service downtime, system errors, telecom failures, hacking, or unauthorized access.
- Events outside our reasonable control (force majeure), such as natural disasters, regulatory restrictions, or government actions.
- Errors, inaccuracies, or interruptions in services, even if foreseeable.
In no event will our total liability, whether arising in contract, tort, negligence, strict liability, or otherwise, exceed the lesser of:
- The total amount paid by you (if any) for the services in the six (6) months prior to the cause of action, or
- ₹50,000 (Indian Rupees Fifty Thousand).
Certain laws may not allow the exclusion or limitation of specific damages. In such cases, our liability will be limited to the minimum extent permitted by applicable law. Nothing in this section shall limit our liability for fraud, gross negligence, or willful misconduct where such exclusion is not allowed by law.
22. Indemnification
In Short: You agree to protect and compensate Nest and its NBFC partners from any losses caused by your actions or misuse of services.
You agree to defend, indemnify, and hold harmless Nest, its NBFC partners, subsidiaries, affiliates, and all of their respective directors, officers, agents, partners, and employees from and against any claims, demands, liabilities, damages, losses, or expenses (including reasonable legal and professional fees) arising out of or relating to:
- Your use or misuse of the services.
- Your breach of these Legal Terms or violation of applicable laws, regulations, or guidelines (including RBI/SEBI/IT Act compliance).
- Any breach of your representations, warranties, or obligations under these Legal Terms.
- Infringement or violation of intellectual property rights, data privacy rights, or other rights of any third party.
- Fraud, misrepresentation, submission of false information, or unlawful conduct.
- Any dispute or harmful act committed by you towards another user, partner, or third party in connection with the services.
We reserve the right, at your cost, to assume the exclusive defense and control of any matter subject to indemnification by you. You agree to fully cooperate, at your own expense, in our defense of such claims and not to settle any matter without our prior written consent. We will use reasonable efforts to notify you of any such claim, action, or proceeding once we become aware of it.
This indemnification obligation will survive the termination of your account or the discontinuation of the services and will remain in effect as long as claims may arise. You acknowledge that this clause protects not only Nest but also its NBFC partners, associates, and regulatory obligations.
23. User Data
In Short: You are responsible for your data; we are not liable for any loss or corruption of it.
We may store and process certain data transmitted to the services for purposes such as maintaining system performance, regulatory compliance, and fraud prevention. While we perform regular backups and apply security measures, you acknowledge and agree that:
- You are solely responsible for maintaining your own backups of data and records related to your use of the services.
- We will not be liable for any loss, corruption, or unauthorized disclosure of data due to technical failures, cyberattacks, system maintenance, or force majeure events.
- You waive any right of action against us for damages arising out of data loss, corruption, or misuse unless caused by proven willful misconduct or gross negligence on our part.
- We reserve the right to retain or delete your data in compliance with applicable data retention and regulatory requirements.
24. Electronic Communications, Transactions, and Signatures
In Short: By using our services, you consent to electronic communication and legally binding electronic agreements.
Customer Data & Information Use
- Ownership: Your personal and financial information remains your property.
- License: You grant Nest and its NBFC partners a limited, royalty-free license to use your data for:
- KYC verification, loan processing, repayment tracking, and regulatory compliance.
- Credit bureau reporting, fraud prevention, and debt collection.
- Sharing with regulators, service providers, auditors, and credit bureaus where required by law.
- Analytics: Nest may use anonymized and aggregated data for analytics, product improvement, credit risk assessment, and fraud detection.
By visiting the services, submitting forms, or communicating electronically, you consent to receive communications in electronic format. Such communications shall have the same legal effect as paper-based records.
You agree to the use of electronic contracts, agreements, orders, consents, and records of transactions initiated or completed through our platform. You waive any requirement for physical signatures or non-electronic records, unless specifically required by law.
25. SMS Text Messaging
In Short: You may receive SMS alerts from us; charges may apply, and you can opt out at any time.
Consent and Communication
By registering with Nest or using our services, you consent to receive SMS alerts and notifications, including but not limited to transaction alerts, payment reminders, OTPs, promotional offers, and service updates. These messages may be sent via automated systems.
Opting Out
You may opt out of promotional SMS messages at any time by following the unsubscribe instructions in the message or by contacting our customer support. However, critical service-related alerts (such as OTPs, fraud warnings, or regulatory notices) cannot be opted out of.
Message and Data Rates
Standard carrier message and data rates may apply to SMS messages sent or received. The cost is determined solely by your telecom provider and your plan.
Support
For assistance with SMS communications, you may contact our customer care team via email or helpline. We will make reasonable efforts to resolve issues but do not guarantee delivery or timeliness of SMS messages as these depend on third-party telecom networks.
Liability
Nest shall not be responsible for delayed, undelivered, or misdirected SMS messages due to telecom failures, technical issues, spam filters, or network outages. You agree that SMS alerts are for convenience only and should not be solely relied upon for fulfilling obligations such as repayment reminders.
26. Miscellaneous
In Short: These terms represent the full understanding between you and us.
These Legal Terms, along with any additional policies or guidelines posted by us on the Services, form the entire agreement between you and us. This ensures clarity and avoids reliance on any prior representations or agreements.
Our failure to exercise or enforce any right under these Legal Terms shall not be considered a waiver of those rights. The Terms will apply to the fullest extent permitted by law.
We may assign or transfer any of our rights and obligations under these Legal Terms to trusted partners, affiliates, or successors without notice. You may not assign your rights or obligations without our prior written consent.
We are not responsible for any delays, interruptions, or failures caused by events outside our reasonable control, including but not limited to natural disasters, government restrictions, technical failures, or third-party service disruptions.
If any provision of these Terms is held unlawful or unenforceable, the remainder will still be valid and enforceable. This ensures the continuity of our agreement even if one section is found invalid.
There is no joint venture, employment, partnership, or agency relationship created between you and us by using the Services. You acknowledge that these Terms will not be interpreted against us simply because we drafted them.
By continuing to use our Services, you waive any defense based on the electronic form of these Legal Terms or the absence of signatures. These Terms are legally binding in electronic format.
